1. Acceptance of Terms

By downloading, installing, or using the Minitku application ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Description of Service

Minitku provides AI-powered meeting transcription, speaker diarisation, and summarisation services. Features vary by subscription plan. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

3. Account Registration

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to create an account and subscribe to a plan.
• One account per person. You may not transfer accounts to others.

4. Acceptable Use

You agree not to:

• Record conversations without the consent of all participants where required by applicable law
• Use the App to record, transcribe, or store content that is illegal, defamatory, or infringes third-party rights
• Attempt to reverse-engineer, scrape, or extract the AI models or infrastructure
• Share your account credentials or allow another person to log in as you
• Use a single account on behalf of multiple people to circumvent per-seat limits
• Use the App in any manner that could damage, disable, or overburden our infrastructure

You are solely responsible for obtaining any necessary consents from meeting participants before recording.

5. Subscription and Billing

• New organisations receive a one-time 7-day Basic plan trial at no cost. No payment card is required. At trial end, the account reverts to Free automatically. The trial is non-transferable and cannot be extended.
• Subscriptions are billed monthly via Stripe (Android) or Apple In-App Purchase (iOS).
• Monthly plans auto-renew; cancel anytime before the next renewal date.
• Gifted plans are non-transferable.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

6. Quota and Usage Limits

Each plan has defined limits for monthly meetings, audio recording hours, and team seats. Exceeding these limits may result in service interruption until the next billing cycle. Unused quota does not roll over.

7. Intellectual Property

• Minitku and its AI models, branding, and interface are the intellectual property of Infinitee AI Solutions.
• You retain ownership of your meeting content (recordings, transcripts, and summaries).
• You grant Minitku a limited licence to process your content solely to provide the service.
• We do not use your meeting content to train AI models without your explicit consent.

8. Confidentiality

We treat your meeting transcripts and summaries as confidential. We do not access, read, or share your content except as necessary to operate the service or as required by law.

9. Disclaimers

The App is provided "as is". AI transcription accuracy varies by audio quality, accent, and language. Minitku does not guarantee 100% accuracy and is not responsible for errors in transcribed or summarised content.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, Minitku's total liability for any claim arising from use of the App is limited to the subscription fees paid in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

11. Termination

We may suspend or terminate your account for material breach of these Terms. Where reasonably practicable, we will provide advance notice before taking such action. We may act without prior notice where required by law or to address an immediate security risk. You may terminate your account at any time from the app settings. On termination, your data will be deleted in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via the App. Continued use after notification constitutes acceptance.

14. Organisation Accounts

Where you use the App as part of an organisation workspace:

• The organisation admin is responsible for managing team membership, including who is invited and approved.
• Invite codes must not be shared publicly or with persons outside the intended team.
• The payer (the user who subscribes on behalf of the organisation) is the account holder of record for billing purposes and is responsible for all subscription charges.
• Admin actions including approving members, adjusting roles, and managing billing are the responsibility of the admin who performs them.
• Minitku is not liable for disputes between organisation members arising from admin decisions.
